1. Acceptance of Terms

By accessing or using the RAZE platform ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

2. Platform Description

RAZE provides a platform for startup founders ("Founders") and accredited investors ("Investors") to connect, share information, schedule meetings, and facilitate potential investment activities. We do not participate in any investment transactions or provide investment advice.

3. Eligibility

  • Founders: You must be a legitimate representative of a startup seeking funding.
  • Investors: You must qualify as an "accredited investor" under applicable securities laws (e.g., Rule 501 of Regulation D under the U.S. Securities Act of 1933). You represent and warrant that you meet these qualifications. We may require verification.
  • You must be at least 18 years old.

4. User Accounts

You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You agree to provide accurate and complete information during registration and to keep it updated.

5. User Conduct

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
  • Violate or encourage others to violate the rights of third parties, including intellectual property rights.
  • Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
  • Interfere with security-related features of the Platform.
  • Interfere with the operation of the Platform or any user's enjoyment of it, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.
  • Perform any fraudulent activity, including impersonating any person or entity, or claiming false affiliations.
  • Sell or otherwise transfer the access granted herein.

6. Content

You retain ownership of the content you submit to the Platform (e.g., startup profile information, pitch decks). By submitting content, you grant RAZE a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content solely for the purpose of operating, promoting, and improving the Platform.

We are not responsible for the accuracy, legality, or appropriateness of content posted by users.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RAZE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

RAZE IS NOT A BROKER-DEALER, INVESTMENT ADVISER, OR FINANCIAL INSTITUTION AND DOES NOT PROVIDE INVESTMENT ADVICE OR RECOMMENDATIONS. ALL INVESTMENT DECISIONS ARE MADE SOLELY BY THE USERS. PERFORM YOUR OWN DUE DILIGENCE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RAZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless RAZE and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Platform, or your violation of these Terms.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on the Platform or by other means. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

11. Governing Law
